Confidentiality & Personal Data
We may recommend consultants and candidates to you as part of discussions around delivery of consultancy services, and it is likely that we or our consultants or candidates will relate certain proprietary information about business, business processes, operational issues and personnel of their current and previous clients and employers, such information being confidential in nature.
You agree to hold the confidential information in confidence and under secure conditions, and not to disclose or permit it to be made available to any person, firm or company, without Quatro Solutions’ express prior written or e-mail consent, other than to those of your directors, officers or employees who are required to receive the same in order to assess the suitability of those consultants and candidates to provide services to you.
Where we send personal data of consultants or candidates, this should not be retained or stored by you, other than as required to assess the suitability of those consultants and candidates to provide services to you, and where those are consultants and candidates are not required to provide services, you are required to delete any personal data from your systems, other than that required to monitor the non-solicitation clause below or required by law to be retained by you.
Non Solicitation
The client or potential client agrees that they will not entice (directly or indirectly through an intermediate, agent or otherwise) the services of any consultant or candidate which is introduced to it by Quatro Solutions without prior written consent, within 9 months of any introduction or additional interview or other contact being made.

For Candidates and Consultants
Confidentiality
We may discuss opportunities with you to deliver certain consultancy services to various clients, and it is likely that we or our clients will relate certain proprietary information about our or their business, business processes, operational issues and personnel such information being confidential in nature.
You may receive or access the confidential Information in writing, electronically, orally or otherwise and it shall include, but not be limited to, all business data of ourselves and our clients and all systems, procedures, policies, trade secrets, know-how, all customer information, contacts and all data relating to our and our clients’ products and services.
You agree to hold the confidential information in confidence and under secure conditions, and not to disclose or permit it to be made available to any person, firm or company, without Quatro Solutions’ express prior written or e-mail consent, other than to those of your directors, officers or employees who are required to receive the same in order to render services to those clients.
Non Solicitation
The candidate or consultant agrees that they will not provide (directly or indirectly through an intermediary, agent or otherwise) services to any client to which they are introduced by Quatro Solutions without prior written consent, within 9 months of any introduction or additional interview or other contact being made.

Non Solicitation
The Supplier warrants that they will not approach nor employ nor procure nor contract with (directly or indirectly through an agent or otherwise) any of the Company personnel to which the Supplier is introduced during supply of the Service under this agreement during the 12 months following the completion of any Services, without the prior written consent of the Supplier.
The Supplier warrants that they will not approach nor contract with (directly or indirectly through an agent or otherwise) any Company to which the Supplier is introduced during supply of the Service under this agreement during the 24 months following the completion of any Services, without the prior written consent of the Supplier.
Variation
Any variation to these terms must be made in writing and explicitly accepted or acknowledged by both parties.
Quatro Solutions does not authorise its personnel to enter into any contract without an explicit signature from a director or suitably authorised person. Any communications, verbal or by email without such signature, must be interpreted as indicative and cannot be construed as binding.
